PUBLIC NOTICE OF MONROE COUNTY HOSPITAL AUTHORITY SPECIAL BOARD MEETING NOTICE IS HEREBY GIVEN that the Board of Directors of the Monroe County Hospital Authority (the “Authority”) will hold a special meeting on May 15, 2024 at 9:00 A.M. in Room 203 of the Monroe County Administrative Building, One Quaker Plaza, Stroudsburg, Pennsylvania 18360 for the purposes of (1) considering authorizing the proposed issuance of one or more series of tax exempt and taxable bonds (the “Bonds”) by the Authority for a hospital and health care facility bond financing pursuant to a plan of finance in one or more series for the benefit of one or more affiliates of The Centurion Foundation, Inc., a Georgia nonprofit corporation and an organization described in section 501(c)(3) of the Internal Revenue Code of 1986, as amended (the “Code”) (The Bonds are proposed to be issued in an aggregate principal amount not to exceed $160,000,000, as qualified 501(c)(3) bonds as defined in section 145 of the Code for hospital and health care facilities. The proceeds of the Bonds will be used to: (a) purchase several healthcare facilities, including medical office buildings, surgery centers, outpatient facilities, imaging facilities, physical and occupational therapy facilities, nursing facilities, behavioral health facilities, nursing dormitory space, data, IT and/or other operational support facilities, and fund an allowance for certain tenant improvements at such facilities; (b) fund any required reserves and capitalized interest for the Bonds; and (c) pay costs of issuance); (2) considering electing additional Board officers; and (3) such other business as may come before the Board of Directors. The public is invited to attend in person. The Board of the Authority does not meet on a regular schedule.
